Grant of Limited Access
Access to the Oasis Vue proprietary client portal (the "Portal") is granted solely to authorized clients ("Authorized Users") who have entered into a valid service agreement with "Write, OASIS LLC" DBA Oasis Vue ("Company," "we," "us," or "our").
Portal access constitutes a limited, non-exclusive, non-transferable, revocable license to access and use the Portal strictly in accordance with these Terms of Service and any additional policies or guidelines provided by the Company.
Account Security and Credential Management
Authorized Users are solely responsible for maintaining the confidentiality and security of their Portal login credentials, including usernames, passwords, and any multi-factor authentication mechanisms. Credentials are personal to the individual Authorized User and may not be shared, transferred, sold, or otherwise disclosed to any third party, including but not limited to employees, contractors, affiliates, or other representatives of the User's organization, except where explicitly authorized in writing by the Company.
Any unauthorized access to, or use of, an Authorized User's account must be reported to the Company immediately upon discovery. The Company reserves the right to suspend or terminate any account that is suspected of unauthorized use, credential sharing, or security compromise, without prior notice and without liability to the Authorized User.
Prohibited Conduct and Restrictions on Use
Authorized Users expressly agree not to engage in any of the following prohibited activities:
(a) Unauthorized Access or Circumvention:
Attempting to access, or actually accessing, any portion of the Portal, data, content, or functionality that is not explicitly authorized for the User's account; bypassing, disabling, interfering with, or otherwise circumventing any security features, access controls, authentication mechanisms, encryption, or technical protection measures implemented within the Portal.
(b) Reverse Engineering and Extraction:
Decompiling, disassembling, reverse engineering, or otherwise attempting to derive source code, underlying algorithms, proprietary methodologies, database structures, or any other technical information from the Portal; extracting, scraping, harvesting, or mining data or content from the Portal through automated means, including but not limited to bots, scripts, crawlers, or other automated tools.
(c) Reproduction and Distribution:
Copying, reproducing, duplicating, distributing, republishing, downloading (except as explicitly permitted for User's own deliverables), transmitting, or creating derivative works based on the Portal's design, user interface, visual elements, code, functionality, or proprietary systems without express written authorization from the Company.
(d) Interference and Misuse:
Introducing viruses, malware, trojans, worms, logic bombs, or any other malicious or harmful code into the Portal; engaging in any conduct that disrupts, degrades, or impairs the Portal's performance, availability, or functionality; using the Portal in any manner that violates applicable local, state, federal, or international laws or regulations.
(e) Commercial Exploitation:
Using the Portal or any content therein for commercial purposes unrelated to the services provided by the Company, including resale, sublicensing, or competitive analysis.
Proprietary Rights and Intellectual Property
The Portal, including but not limited to its software, source code, object code, algorithms, architecture, user interface design, visual design elements, graphics, logos, functionality, features, databases, content, and all related documentation (collectively, the "Portal Systems"), is the exclusive proprietary property of Oasis Vue and is protected by United States and international copyright laws, trademark laws, patent laws, trade secret laws, and other intellectual property rights and unfair competition laws.
No right, title, or interest in or to the Portal Systems is transferred to Authorized Users under these Terms. All rights not expressly granted herein are reserved by the Company. Authorized Users acknowledge and agree that any unauthorized use, copying, modification, or distribution of the Portal Systems constitutes a material breach of these Terms and may subject the User to civil liability and criminal prosecution under applicable intellectual property and computer fraud statutes, including but not limited to the Digital Millennium Copyright Act (DMCA), the Computer Fraud and Abuse Act (CFAA), and equivalent state and international laws.
Confidentiality and Non-Disclosure
All information accessed, viewed, or obtained through the Portal, including but not limited to project documentation, strategic materials, brand guidelines, proprietary methodologies, business processes, financial information, client lists, engagement timelines, internal communications, system architecture, and any other data or content (collectively, "Confidential Information"), is deemed confidential and proprietary to either the Company or its respective clients.
Authorized Users agree to maintain the strict confidentiality of all Confidential Information and shall not disclose, disseminate, publish, or otherwise make available any Confidential Information to any third party without the prior written consent of the Company. This obligation of confidentiality shall survive the termination or expiration of the User's access to the Portal and shall continue indefinitely unless and until such information becomes publicly available through no fault of the User.
Data Privacy and User-Generated Content
While Authorized Users retain ownership of any materials, files, or content uploaded by the User to the Portal ("User Content"), the Company is granted a limited, non-exclusive, worldwide license to store, process, transmit, and display such User Content solely for the purpose of providing Portal services and fulfilling the Company's contractual obligations.
The Company implements commercially reasonable security measures to protect User Content and account information; however, no system is entirely secure. Users acknowledge and accept the inherent risks of transmitting information over the internet. The Company shall not be liable for any unauthorized access, disclosure, or loss of User Content resulting from circumstances beyond the Company's reasonable control.
Monitoring, Auditing, and Enforcement
The Company reserves the right, but not the obligation, to monitor Portal usage, access logs, user activity, and compliance with these Terms for purposes including security, fraud prevention, technical troubleshooting, and enforcement of these Terms. The Company may, in its sole discretion, review User accounts, investigate suspected violations, and take any action deemed necessary or appropriate, including account suspension, termination, data preservation, and cooperation with law enforcement authorities.
Suspension and Termination of Access
The Company reserves the right to suspend, restrict, or terminate any Authorized User's access to the Portal, with or without cause, with or without prior notice, and without liability to the User, under circumstances including but not limited to:
Upon termination, the User's right to access and use the Portal immediately ceases. The Company may, but is not obligated to, provide the User with access to retrieve User Content for a limited period following termination.
Indemnification
Authorized Users agree to indemnify, defend, and hold harmless Oasis Vue, its affiliates, officers, directors, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:
